FRANK CARNEVALE
CHAIRMAN OF THE BOARD
Mr. Carnevale serves as Non-Executive Chairman of Brighter Services Group; he is simultaneously the CEO for BHC Canada, a leading systems integrator for utilities. Previously, he served as Chief Executive Officer of Cleantech Power Corp. ("PWWR") (NEO: PWWR - OTCQB: PWWRF). PWWR is a diversified investment platform developing affordable, renewable, and reliable power assets and cleantech.
He previously held the position of Chief Operating Officer and later Chief Growth Officer at Universal PropTech Inc. (TSXV: UPI), a prominent investment platform that specializes in PropTech innovation, integration, and continuous services for Canadian building developers, owners, and operators. Mr. Carnevale was the founder, president, and CEO of Bridgepoint Group Ltd., a boutique consulting, advisory, and merchant banking firm that was established in 1998. This firm specializes in business development strategies and the execution of sustainability, energy, and infrastructure solutions.
Mr. Carnevale co-founded and managed Impact Investment Partners Inc. One of its earliest investments, energyX Solutions Inc., received two prestigious MIT Climate Colab Challenge Awards. Throughout his career spanning two decades, Mr. Carnevale has successfully originated energy transactions worth over $2.5 billion.
Mr. Carnevale served on the Board of the Canadian Hydrogen & Fuel Cell Association from 2022-2023 and had served as an Executive Board Member of Energy Council of Canada from 2017-2019. He also served as a former member of the Canadian Energy Efficiency Alliance, QUEST (Quality Urban Energy Systems of Tomorrow) and served as Chair of the Community Development Working Group. Previously, he also served as a member of the Council for Clean & Reliable Electricity, the Board of Directors of the Ontario Energy Association, and the Board of Directors of Rethink Sustainability Initiatives (RSI).
In 2017, Mr. Carnevale and Bridgepoint were named Canadian GameChanger of the Year by ACQ5 Magazine through their ACQ Awards.
Mr. Carnevale graduated from York University with a BA degree in Political Science.

CLIVE JACOBSOHN
DIRECTOR, CHIEF FINANCIAL OFFICER
Clive is an accomplished business leader with solid integrated financial and operational expertise. He has a proven track record in stabilizing cash flows, increasing profitability, successful mergers and acquisitions, divestitures and liquidity events. He excels in initiating and implementing strategic views across all functional areas.
Clive has progressively managed his career across many industries in the small to mid-market arenas. He started out with PwC (‘Big 4’) in audit and corporate finance, leading to his extensive experience in manufacturing, biotech, entertainment and medical device industries, with more than 20 years in the role of CFO.
One of many accomplishments for Clive is the significant impact he has made in the consolidation of the Canadian Stem Cell Industry. He served in the role of CFO with Insception Lifebank, a service based direct to consumer business, with over 45,000 customers. During the early years of this tenure, he was instrumental in implementing a turnaround strategy to improve and sustain the Company’s cash flow position that placed it on the path it is today. Clive followed up that initial work by driving the acquisition and integration of a major competitor, being the first in the industry, and transforming the business onto a stable financial platform. He also maintained solid banking relationships and building the internal teams to solidify the business. Clive was fundamental to their continued growth in Canada by acquiring a further major competitor to consolidate the industry. He was ultimately pivotal in the successful exiting of the private equity and management owner group during the sale of the business.
Clive is a Canadian CA, CPA and holds an MBA from the combined program between the Kellogg and Schulich Schools of York and North Western Universities.

PAUL GODDARD
DIRECTOR, HVAC OPERATIONS EXPERT
Paul is a senior executive with 28+ years in Operations and General Management in the energy industry - gas distribution, HVAC and building automation.
He spent 16 years with the Home Services division of Direct Energy, which was later acquired by Enercare. During that time, he served initially as a District Manager with P&L responsibility, and later he oversaw core operations of the company, including HVAC services, Rentals, Procurement, Fleet, Technical Services, Claims, Plumbing, Electrical, Duct Cleaning, and Contractor management. He drove the launch of Enercare’s electrical services in 2016. Paul also oversaw the franchised network of independent businesses and negotiated a long-term extension of that agreement that resulted in over $20M of value to the company.
Paul negotiated the sale of the Winnipeg division, a $3M top-line company-owned business. He was closely involved with the due diligence and integration of the Clockwork Home Services acquisition as well as Service Experts. He was appointed as the primary business representative to work with the Boston Consulting Group to provide a strategic plan for the integration, which due to franchise territory infringement, resulted in the divestiture of four locations, all of which became part of the Right-Time group of companies.
More recently, Paul was the Senior Vice President of Operations at Parity Inc., a commercial energy efficiency company that was recognized in 2021 by Report On Business as one of Canada’s fastest-growing companies.
He continues to consult independently and teach at George Brown College Business School.
Paul has an MBA from the University of Toronto and is a Professional Engineer (B.Sc. Queen’s University).

JOE GALLO
DIRECTOR, HVAC EXPERT
Joe Gallo is an accomplished executive who held the position of Vice-President for Eastern Canada and Sales Effectiveness at Reliance Home Comfort. With a proven track record of driving growth and prioritizing customer satisfaction, Joe effectively oversaw all aspects of field sales and operations. His notable achievements included expanding into new markets by spearheading strategic acquisitions across Canada.
Joe's keen eye for identifying growth opportunities allowed him to strengthen his team's market presence and expand their overall footprint. He implemented key performance indicators and business metrics to optimize operational efficiency and enhance customer service. By fostering a culture of innovation and implementing effective business strategies, Joe played a pivotal role in achieving exponential growth and market share increases.
Furthermore, Joe Gallo's exceptional ability to identify and address operational inefficiencies resulted in substantial cost reductions and improved profitability for the organization. His dedication, strategic vision, and strong leadership skills have been invaluable contributors to the overall success of the company.

PAUL HARRICKS
DIRECTOR, LEGAL
Paul is an experienced senior executive, corporate lawyer and team leader, with an expertise and extensive experience in corporate governance, strategy development and M&A.
Currently, Paul is Senior Advisor to the CEO of Hydro One (TSX: H). He recently stepped down as EVP & Chief Legal Officer at Hydro One, a role he held since 2019, with executive level responsibility for the company’s legal, regulatory, governance, ethics and compliance functions. A member of the company’s executive leadership team, he has worked on a range of complex governance, policy, strategic, regulatory and legal matters at Hydro One and has had principal accountability for the board’s Governance & Regulatory Committee.
Before joining Hydro One, Paul was a corporate law partner at Gowling WLG, an international law firm with offices in ten countries. He spent his entire career of almost 40 years at the firm or its predecessor.
His practice included M&A in a wide range of sectors, project development and finance, corporate governance, and corporate finance. He worked on transactions, and as a trusted advisor to businesses, banks, investment funds and governments, in jurisdictions around the world. At Gowling, he was head of the firm’s Energy Sector Industry Group from 2011 to 2019 (during which period the firm’s practice moved from Band 4 to Band 2 in the prestigious Chambers’ rankings), past leader of the Toronto office’s Business Law department and a member of the Toronto office management committee. Paul was instrumental in the negotiations that led to the merger of Gowlings with UK-based Wragge Lawrence Graham to form Gowling WLG in 2016, making it one of the top 75 largest law firms in the world.
Paul has served on a range of boards of public and private companies, not-for-profits and charities. Currently he is a director, audit committee and compensation committee member of Pioneering Technology, a TSX-V smart technology company and a Profit 500 Fastest Growing Company in 2017. He was the inaugural chair of the Toronto Region Board of Trade’s Energy Transition Committee, and remains a member, and is past-Chair of other TRBOT committees. Before joining Hydro One he was a director of the Association of Power Producers of Ontario.
Paul is currently enrolled in the ICD’s Directors Education Program, with certification expected in the coming months.
He has taught extensively, in Canada and internationally, on corporate law, corporate governance and other legal matters and mentored dozens of lawyers in his career.

IVAN ROJAS
FOUNDING DIRECTOR, ACQUISITIONS
Ivan C. Rojas R. is the Founding Director of Brighter Services Group and a professional civil engineer. He obtained his degree from ECI University in Colombia in 2018, beginning his journey toward gaining valuable experience in the industry. Ivan served as a Resident Engineer at Inprelco and later as a budgets/Designer engineer at Saig, both designing and construction companies. In these roles, he successfully oversaw construction crews and contributed to designing sewerage and pipeline systems for numerous public and private projects.
Driven by his passion for entrepreneurship, Ivan established Interlocking the North in 2022, a small construction company that serves private residential properties in the Greater Toronto Area. Focusing primarily on outdoor surface maintenance and hardscaping construction, Ivan and his team have accomplished approximately 50 projects in the past year alone. His prior engagements with diverse construction companies have endowed him with an understanding of the industry and contractor operations. Through years of experience, He has honed his leadership and sales skills. Ivan brings an effective acquisition methodology that has a proven track record of success. By adopting this approach, we can guarantee the successful completion of our project.
